Terms of Service

Welcome to Monocle, a product of Snowise Technologies, Inc. ("Monocle," "we," "us," or "our"). These Terms of Service ("Terms") govern your access to and use of our websites, applications, and services (collectively, the "Service").
By accessing or using Monocle, you agree to be bound by these Terms and our Privacy Policy. If you do not agree, do not use the Service.
1. Eligibility
You must be at least 18 years old and capable of forming a binding contract. By using Monocle, you represent and warrant that you meet these requirements.
2. Your Account
You are responsible for maintaining the confidentiality of your login credentials and all activity that occurs under your account. You agree to notify us immediately of any unauthorized access or suspected breach. You are solely responsible for maintaining updated account information.
3. Acceptable Use
You agree to use the Service solely for lawful, authorized purposes and in accordance with these Terms. You will not:
- →Reverse engineer, decompile, or modify any part of the Service
- →Circumvent access or usage limitations
- →Upload or transmit malicious code or content
- →Use Monocle to violate any applicable law, regulation, or third-party rights
- →Attempt to gain unauthorized access to systems or networks
We reserve the right to suspend or terminate accounts for any misuse.
4. Subscription Plans & Billing
4.1 Plans & Pricing
Monocle offers two subscription tiers, each available with monthly or annual billing:
- →Individual Plan — Per-user subscription billed monthly or annually. Includes a 14-day free trial for new users — no credit card required.
- →Organization Plan — Per-seat subscription billed monthly or annually with a 5-seat minimum. Includes a 14-day free trial for new organizations — no credit card required. Pricing is displayed at checkout.
Annual billing is charged upfront for the full year at a discounted rate compared to monthly billing. We may update pricing with at least 30 days' notice before your next billing cycle. Continued use after a price change constitutes acceptance.
4.2 Free Trial
New individual users and new organizations are eligible for a one-time 14-day free trial with full access to all features. No credit card is required to start a trial.
- →At the end of the trial, you must subscribe to continue using Monocle.
- →If you do not subscribe, your account will remain accessible but your access to Monocle features will be suspended until a subscription is activated.
- →Each user or organization is eligible for only one free trial. The trial cannot be restarted or extended.
4.3 Seat-Based Billing & Proration
Organization plans are billed per seat. Seat changes during a billing cycle are prorated as follows:
- →Adding seats — A prorated charge is calculated for the remaining days in the current billing period and invoiced immediately. For example, adding 2 seats halfway through a monthly cycle results in a charge for approximately half the per-seat monthly rate for each new seat.
- →Removing seats — A prorated credit is calculated for the remaining days in the current billing period and applied to your account balance. This credit is automatically deducted from your next invoice. Seat count cannot be reduced below the current number of active members or below the 5-seat minimum.
Credits do not expire and cannot be redeemed for cash. They are applied automatically against future invoices.
4.4 Payment Methods
- →Card billing — Charges are processed automatically via Stripe at the start of each billing cycle (monthly or annually).
- →Invoice billing (Net-30) — Available for qualifying organizations upon request. Invoices are issued at the start of each billing cycle with payment due within 30 days. Invoice billing skips the free trial — billing begins immediately upon activation.
4.5 Cancellation & Refunds
- →You may cancel your subscription at any time from your account settings.
- →Cancellation takes effect at the end of the current billing period — you retain full access until then.
- →No refunds are issued for partial billing periods unless required by applicable law.
- →Unused account credits are forfeited upon cancellation.
- →For organization plans, cancellation affects all members. The admin should notify team members before canceling.
4.6 Account Deletion & Recovery
- →Individual users and organization admins may delete their account from account settings.
- →Organization members may leave their organization but cannot delete their account — only the organization admin can remove a member's account.
- →After requesting deletion, your account enters a 14-day recovery window. During this period, you may log in and recover your account with all data intact.
- →You may also choose to immediately and permanently delete your account during the recovery window. This action is irreversible.
- →After the 14-day recovery window, your account and all associated data are permanently deleted.
- →When an organization admin removes a member, the member's data is retained for 14 days (accessible to the admin for reassignment), then permanently deleted.
You may manage your subscription, adjust seats, and view invoices through your account dashboard.
5. Data Security & Compliance
We maintain administrative, physical, and technical safeguards in accordance with industry best practices, including those outlined in the SOC 2 framework. However, security is a shared responsibility:
Your Responsibilities:
- →Ensure your data inputs comply with applicable laws
- →Maintain secure credentials and access practices
- →Avoid introducing vulnerabilities into our system (e.g., untrusted file uploads)
Our Responsibilities:
- →Encrypt data in transit and at rest
- →Monitor for unauthorized access
- →Maintain secure hosting and audit logging via third-party infrastructure (e.g., Supabase, Vercel, OpenAI, Google Cloud)
6. User Content
You retain ownership of all content you upload to Monocle ("User Content"). By using the Service, you grant us a limited, revocable license to store, process, and display this content solely for the purposes of delivering the Service.
You are solely responsible for ensuring the legality, accuracy, and permissions associated with your data inputs.
7. AI-Generated Content
Monocle may use artificial intelligence to offer features like note summarization and task recommendations. These outputs are provided "as-is" and may contain inaccuracies.
You agree not to rely solely on AI-generated outputs for legal, financial, or medical decisions.
8. Third-Party Integrations
You may choose to connect Monocle with services like Google Workspace, HubSpot, or Salesforce. We access only the metadata and content you permit.
You are responsible for revoking access and managing third-party API keys. We are not liable for the actions or privacy practices of those services.
9. Data Privacy
Our handling of your data is governed by our Privacy Policy. We do not sell or use your data for advertising. Data is only accessed to deliver, secure, and improve the Service.
10. Confidentiality and Audit Rights
Snowise agrees to maintain the confidentiality of all non-public user information. We may undergo security audits or reviews to maintain compliance with frameworks like SOC 2.
You agree not to disclose any confidential or proprietary Monocle functionality without written consent.
11. Termination
You may stop using the Service at any time. See Section 4.5 for cancellation details and Section 4.6 for account deletion and data retention policies.
We may suspend or terminate your account for:
- →Breach of these Terms
- →Use that creates risk to the Service or other users
- →Non-payment or fraudulent activity
Upon termination by us, your license to use Monocle ceases immediately. Data retention follows the policies described in Section 4.6 unless legally required otherwise.
12. Warranties & Disclaimers
The Service is provided "as is." We do not guarantee that it will be error-free, uninterrupted, or fit for a particular purpose. Your use is at your own risk.
13. Limitation of Liability
To the fullest extent permitted by law, Snowise Technologies shall not be liable for any indirect or consequential damages.
In no case shall our liability exceed the amount you paid in the twelve (12) months prior to the claim.
14. Governing Law
These Terms are governed by the laws of the State of Washington. Any disputes will be resolved in the courts of King County, Washington.
15. Changes to Terms
We may update these Terms periodically. If changes are material, we'll notify you via email or within the Service. Continued use means you accept the updated Terms.
